Definitions & Interpretation
In this Agreement:
- "Acquisition" means the purchase of [Target Company/Business/Assets] as described in Schedule 1.
- "Completion" means the fulfilment of all conditions precedent and transfer of ownership.
- "Consideration" means the total purchase price of £[Amount], payable as per Clause 3.
- "Disclosure Letter" means the Seller’s disclosures against warranties.
Structure of Transaction
Type of Acquisition:
- Share Purchase (buying the Target Company’s shares, including all assets/liabilities).
- Asset Purchase (buying specific assets/liabilities only).
- Merger (combining two companies into one entity).
Conditions Precedent (if applicable):
- Regulatory approvals (e.g., Competition & Markets Authority (CMA) clearance).
- Shareholder approval (if required under the Companies Act 2006).
- Due diligence satisfaction.
Purchase Price & Payment
Consideration
- Upfront Payment: £[Amount] on Completion.
- Deferred/Earn-Out Payment: £[Amount] contingent on [performance metrics].
Adjustments
- Working Capital Adjustment: Final price adjusted based on closing accounts.
- Retentions: £[Amount] held back for [X months] against warranty claims.
Representations & Warranties
Seller’s Warranties:
- Title to shares/assets is unencumbered.

- No undisclosed litigation or tax liabilities.
Buyer’s Warranties:

- Funds are available for payment.
Limitations on Claims:
- Claims must be made within [X] years of Completion.

Due Diligence & Disclosure
The Seller shall provide:
- Financial records.
- Contracts, leases, and employment details.
- Intellectual property registrations.
Disclosure Letter:
- Qualifies warranties with disclosed exceptions.
Covenants (Pre- & Post-Completion)
Pre-Completion:
- Business to be conducted in the ordinary course.
- No material contracts entered without Buyer’s consent.
Post-Completion:
- Restrictive Covenants: Seller not to compete for [X] years within [Geographic Area].
- Key Employee Retention: [Names] to remain employed for [X] months.
Employees (TUPE Considerations)
If Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) applies:
- Employees automatically transfer to Buyer.
- Seller to provide employee liability information.
Tax Implications
Seller’s Liabilities:
- Capital Gains Tax (CGT) on disposal (subject to Entrepreneurs’ Relief, if applicable).
Buyer’s Liabilities:
- Stamp Duty (0.5% on share purchases over £1,000).
- SDLT (if purchasing property as part of assets).
Termination Rights
Either Party may terminate if:
- Conditions precedent not met by [Long Stop Date].
- Material breach by the other Party.
